These Terms and Conditions (“Terms”) govern your use of the HAxel Digital website and any services you engage us to provide. Please read them carefully. By using our website or working with us, you agree to these Terms.
1Agreement to terms
By accessing this website, submitting an enquiry, or engaging HAxel Digital (“HAxel Digital”, “we”, “us”, or “our”) for services, you (“you”, “the client”) agree to be bound by these Terms. If you do not agree, please do not use our website or services. Where we enter into a separate written agreement or statement of work with you, that agreement will take precedence if it conflicts with these Terms.
2Our services
HAxel Digital provides digital marketing services which may include SEO, WordPress development, Google Ads, Facebook and Meta Ads, social media marketing, growth consulting, and automation. The specific scope, deliverables, and timelines for any engagement will be set out in a proposal or statement of work agreed between us.
3Proposals and quotes
Any proposal or quote we provide is based on the information available at the time and is valid for the period stated in it. A proposal does not create a binding engagement until it is accepted by you and confirmed by us. We reserve the right to adjust a quote if the scope, requirements, or information provided changes.
4Fees and payment
- Fees are as set out in the applicable proposal or statement of work.
- Unless agreed otherwise, invoices are payable within the period stated on the invoice.
- Recurring engagements are billed on the agreed schedule and may be cancelled in line with the terms of that engagement.
- Late payments may result in suspension of work and may incur reasonable additional charges where permitted by law.
- Third party costs such as ad spend, software, and licences are your responsibility unless we agree otherwise in writing.
5Client responsibilities
To help us deliver our services effectively, you agree to provide accurate information, timely feedback and approvals, and any access, content, or materials we reasonably need. You are responsible for ensuring that any materials you provide to us do not infringe the rights of any third party, and that you have the authority to enter into an engagement with us.
6Intellectual property
Any content, code, or materials we create specifically for you as part of a paid engagement become yours once payment has been received in full, unless stated otherwise in the relevant agreement. We retain ownership of our own pre existing tools, templates, frameworks, and know how, and may reuse general skills and experience gained. Content on this website, including our branding, text, and design, remains the property of HAxel Digital and may not be copied without permission.
7Confidentiality
Each party agrees to keep confidential any non public information shared by the other during an engagement, and to use it only for the purpose of that engagement. This obligation continues after the engagement ends. We may reference our work for you in our portfolio and marketing in a general way unless you ask us in writing not to.
8Third party services
Our services may rely on third party platforms such as Google, Meta, hosting providers, and other tools. We are not responsible for changes, outages, policy decisions, or actions taken by those platforms, including account suspensions or algorithm changes, which are outside our control.
9No guarantee of results
Digital marketing results depend on many factors, some of which are outside our control. While we work hard using proven methods and share realistic expectations, we do not guarantee specific rankings, traffic, leads, revenue, or other outcomes. Any figures, case studies, or examples shown on our website reflect past results and are not a promise of future performance.
10Limitation of liability
To the maximum extent permitted by law, HAxel Digital will not be liable for any indirect, incidental, or consequential losses, including lost profits, revenue, or data, arising from your use of our website or services. Where we are found liable, our total liability will not exceed the amount you paid us for the services giving rise to the claim in the three months before the claim arose. Nothing in these Terms excludes liability that cannot be excluded by law.
11Termination
Either party may end an engagement in line with the notice terms set out in the applicable agreement. On termination, you agree to pay for all work completed and costs incurred up to the termination date. We may suspend or end services immediately if you breach these Terms or fail to pay amounts due.
12Changes to these terms
We may update these Terms from time to time. Changes take effect once posted on this page, and the “Last updated” date will be revised. Your continued use of our website or services after changes are posted means you accept the updated Terms.
13Governing law
These Terms are governed by the laws of the United States and the state in which HAxel Digital operates, without regard to conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located there, unless applicable law requires otherwise.
